1. Our Services

US IT Hardware is an independent reseller and distributor of information technology products and equipment.

Our products may include, without limitation:

  • servers and server components;
  • hard drives and solid-state drives;
  • storage products;
  • memory and processors;

  • controllers and adapters;
  • computer hardware and peripherals;
  • new and factory-sealed products;
  • refurbished or previously used products, where specifically identified;
  • software and software licenses; and
  • other information technology products.

US IT Hardware is a reseller and distributor and is not the manufacturer of products sold through the Services.

Product availability, condition, specifications, manufacturer, warranty coverage, and other characteristics may vary by product.

The Services are provided primarily for commercial and business purposes. Customers are responsible for determining whether a product is suitable for their intended use, environment, and application.

2. Eligibility

You must be legally capable of entering into a binding contract under applicable law to place an order or use the Services.

If you are purchasing products on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

By using the Services, you represent that:

  • information you provide is accurate and complete;
  • you have authority to enter into these Terms;
  • you will comply with all applicable laws and regulations;
  • you will not use the Services for an unlawful purpose; and
  • you will not use the Services in a manner that violates these Terms.

3. Website Content and Intellectual Property

All content made available through the Services, including text, product descriptions, photographs, graphics, logos, trademarks, page layouts, software, databases, designs, and other materials (“Content”), is owned by or licensed to US IT Hardware or its respective licensors.

The Content is protected by applicable copyright, trademark, intellectual property, and other laws.

Subject to these Terms, US IT Hardware grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for lawful personal or internal business purposes.

You may not, without our prior written permission:

  • reproduce or republish substantial portions of the Services;
  • copy or commercially exploit our Content;
  • modify our Content;
  • remove copyright, trademark, or proprietary notices;
  • use our trademarks or branding in a misleading manner;
  • systematically scrape or collect information from the Services; or
  • use our Content to develop a competing commercial service.

All rights not expressly granted are reserved by US IT Hardware and its licensors.

4. User Accounts and Account Security

Certain features may require you to create an account.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

You agree to:

  • provide accurate account information;
  • maintain current information;
  • protect your username and password;
  • promptly notify US IT Hardware of unauthorized account access; and
  • not permit unauthorized persons to use your account.

US IT Hardware reserves the right to suspend or terminate an account where we reasonably believe that the account has been compromised, used fraudulently, or used in violation of these Terms.

5. Customer Information and Verification

To protect customers and US IT Hardware from fraudulent or unauthorized transactions, we may request additional information or verification before processing certain orders.

Verification may be requested for reasons including:

  • unusually high-value transactions;
  • billing and shipping address discrepancies;
  • unusual ordering patterns;
  • payment verification concerns;
  • fraud-prevention screening; or
  • other legitimate security concerns.

If verification is required, we may delay, decline, or cancel an order if sufficient verification cannot be completed.

Any collection and handling of personal information will be subject to our Privacy Policy and applicable law.

6. Products, Specifications, and Availability

We make reasonable efforts to provide accurate product descriptions, photographs, specifications, compatibility information, and pricing.

However, manufacturers may change product specifications, packaging, firmware, components, features, or availability without notice.

Images may not always exactly reflect the product supplied.

Where a specific model, revision, configuration, component, firmware version, or compatibility requirement is important to your intended use, you should confirm those requirements with US IT Hardware before placing your order.

All products are subject to availability.

US IT Hardware reserves the right to:

  • limit quantities;
  • discontinue products;
  • correct product or pricing information;
  • restrict certain products or orders;
  • decline orders where inventory is unavailable; and
  • cancel orders affected by material errors.

7. Orders and Order Acceptance

Submitting an order through the Services constitutes an offer to purchase the selected products.

An order is not necessarily accepted merely because you receive an order confirmation or payment authorization.

US IT Hardware reserves the right to accept, reject, cancel, or limit an order for legitimate business reasons, including:

  • product unavailability;
  • pricing or listing errors;
  • suspected fraud;
  • payment issues;
  • shipping restrictions;
  • inventory discrepancies;
  • incorrect product information; or
  • violation of these Terms.

If we cancel an order after payment has been received, we will issue an applicable refund to the original payment method, subject to applicable law.

8. Pricing and Payment

Prices displayed through the Services are generally shown in U.S. dollars unless otherwise stated.

Available payment methods may include:

  • Visa;
  • Mastercard;
  • American Express;
  • Discover;
  • wire transfer; and
  • approved net-credit arrangements.

Payment methods and availability may change.

You agree to provide accurate billing and payment information and authorize US IT Hardware to charge the applicable payment method for the purchase price, shipping charges, applicable taxes, and other authorized charges.

Pricing Errors

We make reasonable efforts to ensure that product pricing is accurate.

If we discover a material pricing error before fulfillment, we may cancel the affected order and issue a refund of amounts paid for that order.

Whereas reasonably practicable, we will notify the customer before cancellation.

9. Taxes and Shipping

Customers are responsible for applicable taxes unless a valid exemption applies.

Shipping charges will be displayed or otherwise communicated at the time of purchase where applicable.

Delivery dates and shipping estimates are estimates and are not guaranteed unless expressly agreed in writing.

Once an order has been shipped, carrier delays, weather, natural disasters, labor disruptions, customs delays, and other circumstances beyond our reasonable control may affect delivery.

Risk of loss and title will transfer as determined by applicable law and the applicable sales and shipping terms.

10. Order Cancellation

Cancellation requests should be submitted as soon as possible after an order is placed.

Orders may enter procurement, configuration, processing, or fulfillment shortly after submission.

Accordingly, cancellation may not always be possible.

Where cancellation is permitted, any applicable refund will be processed in accordance with the order terms and applicable law.

Special-order, customized, configured, or otherwise non-standard products may be subject to additional cancellation restrictions disclosed before or at the time of purchase.

11. Warranty Policy

US IT Hardware provides a Standard 30-Day Warranty for eligible products unless otherwise stated for a particular product.

The Standard 30-Day Warranty begins on the Delivery Date.

For purposes of these Terms and our Warranty Policy, “Delivery Date” means the date on which the applicable product is delivered to the customer or the customer's designated delivery address, as reflected by the applicable carrier's delivery record.

The Standard 30-Day Warranty is subject to the terms, exclusions, limitations, and procedures contained in the US IT Hardware Warranty Policy.

The Warranty Policy is incorporated into these Terms by reference.

The Warranty Policy does not replace or eliminate any applicable manufacturer's warranty.

For complete warranty terms, customers should review the US IT Hardware Warranty Policy.

12. Return Policy

Product returns, refunds, and replacements are governed by the US IT Hardware Return Policy, which is incorporated into these Terms by reference.

Unless otherwise stated for a particular product:

  • eligible refund requests must be submitted within 14 days of the Delivery Date; and
  • eligible replacement requests may be submitted within 30 days of the Delivery Date.

The 30-day replacement period operates together with the US IT Hardware Standard 30-Day Warranty.

The Return Policy establishes the applicable RMA process, return conditions, shipping responsibilities, restocking fees, DOA procedures, refund procedures, and product-specific return restrictions.

Customers should review the “Return Policy” before placing an order.

13. Manufacturer Warranties

Because US IT Hardware is a reseller and distributor rather than the manufacturer of the products it sells, products may be covered by separate manufacturer warranties.

Manufacturer warranty terms vary by manufacturer and product.

Where applicable, US IT Hardware passes through to the customer the benefits of the manufacturer's warranty to the extent permitted by law.

After the US IT Hardware Standard 30-Day Warranty period expires, a customer may still be entitled to manufacturer warranty service.

The manufacturer determines the eligibility, scope, duration, and remedy available under its warranty.

14. Product Compatibility and Customer Responsibility

Customers are responsible for determining whether a product is compatible with their intended hardware, software, operating system, network, environment, or application.

US IT Hardware does not guarantee compatibility with every configuration.

Before purchasing, customers should verify requirements including, where applicable:

  • interface type;
  • connector type;
  • capacity;
  • firmware;
  • form factor;
  • operating system;
  • system generation;
  • power requirements;
  • networking standards;
  • manufacturer compatibility requirements; and
  • software dependencies.

Where compatibility is critical, customers should contact US IT Hardware before ordering.

A product that is functional but incompatible with a customer's particular configuration may not qualify as a defective or DOA product under the Warranty Policy or Return & Replacement Policy.

15. Software and Third-Party Products

Products may include software, firmware, drivers, licenses, activation codes, or other materials supplied by manufacturers or third parties.

Such products may be subject to separate license agreements and warranty terms.

US IT Hardware does not grant rights to third-party software beyond those expressly provided by the applicable licensor.

Customers are responsible for complying with applicable software licenses.

16. Prohibited Activities

You may not use the Services to:

  • violate any applicable law or regulation;
  • commit fraud or facilitate fraudulent transactions;
  • impersonate another person or entity;
  • gain unauthorized access to accounts, systems, or networks;
  • interfere with the operation or security of the Services;

  • interfere with another customer's use of the Services;
  • use the Services to conduct unauthorized advertising or solicitation;
  • use the Services to develop or support an unlawful activity; or
  • otherwise use the Services in violation of these Terms.

17. Reviews, Feedback, and Submissions

Where the Services permit reviews, ratings, questions, comments, or other submissions, you are responsible for the content you submit.

You agree that submissions must not:

  • be knowingly false or misleading;
  • impersonate another person;
  • infringe third-party rights;
  • contain unlawful, threatening, defamatory, or abusive material;
  • contain malicious code;
  • disclose another person's confidential or personal information without authorization; or
  • be submitted as part of a fraudulent attempt to manipulate ratings or reviews.

By submitting feedback, reviews, photographs, suggestions, or other content to US IT Hardware, you grant US IT Hardware a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, modify, and distribute the submission for lawful business purposes.

You retain ownership of your underlying intellectual property rights, subject to the license granted above.

18. Third-Party Websites and Services

The Services may contain links to third-party websites, manufacturers, payment processors, shipping providers, or other services.

These third-party services are operated independently of US IT Hardware.

US IT Hardware does not control and is not responsible for third-party websites, content, privacy practices, security, availability, or terms.

Your use of third-party services is governed by the applicable third party's terms and policies.

19. Privacy and Personal Information

Our collection, use, storage, and disclosure of personal information are governed by our Privacy Policy.

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

US IT Hardware may process customer information for purposes including:

  • processing and fulfilling orders;
  • payment processing;
  • shipping;
  • customer support;
  • fraud prevention;
  • warranty and return administration;
  • legal and regulatory compliance; and
  • legitimate business operations.

We will handle personal information in accordance with our Privacy Policy and applicable law.

20. Electronic Communications

By using the Services or communicating with US IT Hardware electronically, you consent to receive electronic communications relating to your orders, account, transactions, returns, warranties, and other Services.

Electronic communications may include email, order confirmations, invoices, shipping notifications, RMA communications, and customer-service communications.

Electronic communications satisfy any legal requirement that such communications be provided in writing, to the extent permitted by applicable law.

21. Service Availability and Website Use

We strive to maintain the availability and accuracy of the Services but do not guarantee that the website or its features will always be available or uninterrupted.

The Services may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • technical failures;
  • telecommunications problems;
  • cybersecurity incidents;
  • third-party service failures; or
  • circumstances beyond our reasonable control.

US IT Hardware may modify, suspend, or discontinue portions of the Services at any time.

22. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

US IT HARDWARE DISCLAIMS WARRANTIES REGARDING THE SERVICES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING WARRANTIES THAT THE SERVICES WILL BE:

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, US IT HARDWARE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES, PRODUCTS, ORDERS, OR THESE TERMS.

Such damages may include, without limitation:

  • business interruption; or
  • loss of anticipated savings.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, US IT HARDWARE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PRODUCT, ORDER, OR SERVICE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO US IT HARDWARE FOR THE PRODUCT, ORDER, OR SERVICE GIVING RISE TO THE CLAIM.

This limitation does not apply to liability that cannot legally be excluded or limited.

24. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless US IT Hardware and its officers, directors, employees, agents, affiliates, and representatives from claims, liabilities, damages, losses, and reasonable expenses arising out of:

26. Compliance with Laws and Export Restrictions

You agree to comply with all applicable federal, state, local, and international laws and regulations relating to your purchase and use of products.

You are responsible for determining whether products purchased from US IT Hardware may be exported, re-exported, transferred, or used in a particular jurisdiction or application.

US IT Hardware may decline transactions where we reasonably believe that completing the transaction would violate applicable law, sanctions, export restrictions, or other legal requirements.

27. Governing Law and Dispute Resolution

These Terms and transactions between you and US IT Hardware shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict-of-law principles, except to the extent that applicable law requires otherwise.

You consent to the personal jurisdiction and venue of such courts, subject to applicable law.

Nothing in this section prevents either party from seeking temporary, preliminary, or emergency equitable relief from a court of competent jurisdiction where legally available.

Nothing in these Terms waives any consumer protection, statutory remedy, or other right that cannot legally be waived.

28. Force Majeure

US IT Hardware shall not be responsible for delays or failures to perform caused by circumstances beyond our reasonable control, including:

US IT Hardware may modify these Terms from time to time.

When material changes are made, we may update the “Last Updated” date and, where appropriate, provide notice through the Services or by email.

The version of these Terms applicable to an order will generally be the version in effect when the order is placed, unless otherwise required by law or expressly agreed in writing.

Your continued use of the Services following the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by law.

If there is a conflict between these Terms and a product-specific warranty or manufacturer warranty, the applicable warranty terms will govern the warranty matter to the extent applicable.
